Akira is a technology platform that may facilitate access to certain services provided by independent third-party service providers. The Company does not guarantee the availability, suitability, approval, completion, settlement, performance, or outcome of any virtual asset transaction, card-related service, payment-related service, wallet-related service, conversion service, money movement feature, or Third-Party Service.

This Risk Disclosure is not exhaustive and does not address every possible risk. You should carefully assess whether the Platform and any related services are suitable for you in light of your financial situation, objectives, experience, risk tolerance, legal obligations, and the laws applicable in your jurisdiction. Regulatory and Legal Considerations

The regulatory framework governing virtual assets, cryptocurrencies, blockchain-based services, card-related services, payment-related services, wallet-related services, fiat-to-digital-asset conversion, digital-asset-to-fiat conversion, and money movement features is evolving and may vary across jurisdictions. Laws, regulations, and regulatory guidance may change rapidly and may be subject to differing interpretations by regulatory authorities.

Certain jurisdictions may restrict, prohibit, or impose additional requirements on the use of virtual assets or related services. You are solely responsible for understanding and complying with all applicable laws and regulations in your jurisdiction. We do not provide legal advice and do not make any representations regarding the legality of virtual assets in any jurisdiction.

Compliance, Sanctions, and Restricted Use Risks

Access to certain services may be restricted, suspended, declined, delayed, or unavailable due to compliance reviews, sanctions requirements, provider policies, card network rules, payment network rules, issuer rules, banking partner requirements, transaction monitoring, fraud prevention, risk controls, supported jurisdiction requirements, restricted jurisdiction requirements, prohibited-use policies, or merchant category restrictions.

Users, entities, beneficial owners, directors, authorized users, cardholders, merchants, business types, jurisdictions, currencies, digital assets, transaction types, spending categories, or features may be restricted or unsupported. The Company and/or the applicable third-party service provider may reject, delay, restrict, suspend, terminate, withhold access to, or decline any account, card, wallet, transaction, transfer, conversion, settlement, withdrawal, top-up, payment, feature, or service where required for legal, compliance, security, operational, provider policy, network rule, or risk management reasons.

Third-Party Service Providers

The Platform may provide access to services operated, approved, restricted, monitored, or fulfilled by independent third-party service providers. These may include virtual card services, card-related services, payment processing, wallet services, fiat-to-digital-asset conversion, digital-asset-to-fiat conversion, bank transfer rails, e-wallet services, QR payment systems, domestic payment rails, virtual accounts, settlement, identity verification, compliance screening, fraud monitoring, transaction monitoring, and related infrastructure services.

Such services are subject to the applicable third-party provider’s terms, policies, eligibility criteria, supported jurisdictions, restricted jurisdictions, compliance requirements, limits, fees, risk controls, and operational requirements. The Company does not control third-party approvals, declines, suspensions, transaction outcomes, settlement timing, provider availability, or compliance decisions.

The Company does not custody customer funds or virtual assets and does not act as a bank, payment institution, e-money issuer, card issuer, card program manager, digital asset exchange, remittance provider, custodian, broker, or financial intermediary, unless expressly stated and duly licensed. Any regulated services are performed by the relevant third-party providers.

Card, Wallet, and Payment Risks

Virtual card, card-related, wallet-related, payment-related, and money movement features may be subject to transaction declines, reversals, chargebacks, delayed settlement, failed top-ups, failed withdrawals, account restrictions, transaction limits, merchant category restrictions, foreign exchange differences, network fees, provider fees, compliance reviews, and service interruptions.

Availability of any virtual card, physical card, wallet, payment rail, bank transfer, e-wallet, QR payment, domestic payment rails, virtual account, currency, asset, merchant category, or feature may vary depending on the applicable third-party provider, jurisdiction, regulatory requirements, user eligibility, risk review, technical availability, and operational limitations. The Company does not guarantee that any transaction, transfer, payment, conversion, top-up, withdrawal, or settlement will be approved, completed, or available at any particular time.

Virtual Asset Market Risks

Virtual assets are subject to significant price volatility and market risks. The value of virtual assets can fluctuate rapidly and unpredictably, and may result in partial or total loss. Virtual assets may also suffer from reduced liquidity, limited market depth, or technological constraints.

You acknowledge that trading, holding, or transacting in virtual assets involves substantial risk and may not be suitable for all users. You should only engage in such activities if you fully understand the risks involved and can bear potential losses.

Availability of Services

We do not guarantee the continuous availability of any specific virtual asset, blockchain network, card, wallet, payment method, payment rail, conversion service, virtual account, third-party provider, or Platform feature. Certain assets, networks, cards, wallets, payment methods, rails, features, or services may be modified, restricted, suspended, declined, delayed, or discontinued at any time due to regulatory, compliance, sanctions, fraud prevention, technical, liquidity, provider, network, banking partner, card network, operational, or business considerations.

The availability of any service may depend on third-party provider approval, user eligibility, supported jurisdictions, compliance review, transaction monitoring, risk controls, technical integration, provider availability, network conditions, and applicable laws or regulations. The Company does not guarantee that any transaction, transfer, conversion, top-up, withdrawal, payment, settlement, card-related service, wallet-related service, or money movement feature will be approved, completed, available, or available within any specific timeframe.

Insolvency and Consumer Protection

As the Company does not hold customer funds or virtual assets and does not operate as a bank, payment institution, e-money issuer, custodian, card issuer, or regulated financial institution, consumer protection schemes applicable to traditional banking, deposit-taking, payment, investment, or financial institutions may not apply.

In the event of insolvency, liquidation, suspension, service failure, or cessation of operations by any third-party service provider, issuer, bank partner, payment partner, wallet provider, digital asset service provider, or infrastructure provider, you may not be entitled to protections, insurance, reimbursement, or compensation under consumer protection or deposit protection schemes.

Accuracy of Information

While we endeavor to ensure that information displayed on the Platform is accurate and up to date, such information may not always be complete, current, or free from errors. We make no representations or warranties regarding the accuracy or reliability of any information provided.

Cybersecurity and Technology Risks

The Platform and related services rely on digital infrastructure and third-party technology providers. As a result, they may be exposed to cybersecurity risks, including malware, denial-of-service attacks, unauthorized access, system failures, or other malicious activities.

Cybersecurity incidents may result in service disruptions, data loss, or other adverse effects. While reasonable measures are taken to mitigate these risks, no system can be guaranteed to be completely secure. Technology-related risks may also include blockchain network congestion, smart contract vulnerabilities, wallet address errors, device compromise, phishing, social engineering, API failures, provider outages, integration failures, incorrect user instructions, and irreversible or delayed transactions.

User Responsibilities

You are responsible for maintaining the confidentiality and security of your access credentials, including usernames, passwords, email accounts, and any two-factor authentication mechanisms. You are also responsible for ensuring the security of the devices and systems you use to access the Platform.

Any loss arising from unauthorized access due to your failure to safeguard your credentials may be your sole responsibility. You are responsible for ensuring that all information you provide is accurate, complete, and up to date. Incorrect wallet addresses, bank details, recipient information, payment instructions, identity information, or onboarding information may result in failed transactions, delayed services, declined access, loss of funds or assets, or inability to recover transactions.
