These Terms of Use (“Terms”) govern your access to and use of the Akira platform, including any websites, mobile applications, web applications, interfaces, APIs, software, features, and related services made available from time to time (collectively, the “Platform”). References to “Company,” “we,” “us,” or “our” refer to Exodia Labs Sdn. Bhd. [Registration No.: 202601017485 (1679582-A)], a private company incorporated in Malaysia, and the operator of the Akira Platform. References to “you” or “User” mean any individual or entity that accesses or uses the Platform. By accessing, registering for, downloading, installing, or using the Platform in any manner, including by clicking “I Agree,” “I Accept,” or continuing to use the Platform after these Terms are made available, you acknowledge that you have read, understood, and agree to be bound by these Terms and the Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform.
Akira is a technology platform designed to facilitate access to, where available, card-related, payment-related, wallet-related, account-related, money movement, settlement, fiat-to-digital-asset conversion, digital-asset-to-fiat conversion, bank transfer, e-wallet, QR payment, domestic payment rails, merchant payment, identity verification, compliance screening, and related financial infrastructure services provided by independent third-party service providers. The Company is not a bank, financial institution, payment service provider, e-money issuer, card issuer, card program manager, money services business, remittance provider, digital asset exchange, recognized market operator, custodian, broker, or investment adviser, unless expressly stated and duly licensed. The Company does not issue cards, operate card programs, open or operate bank accounts, provide e-money services, hold, safeguard, or custody user funds or digital assets, process or settle regulated payment transactions, operate any digital asset exchange, provide remittance services, or make final compliance, onboarding, transaction approval, transaction rejection, chargeback, dispute, settlement, or account closure decisions. All regulated activities are performed exclusively by the relevant licensed, registered, approved, authorized, or otherwise permitted third-party service providers, including where applicable issuers, program managers, bank partners, payment partners, payment network operators, card networks, wallet providers, digital asset service providers, infrastructure providers, and compliance service providers.
Use of the Platform is permitted only if you are at least eighteen (18) years of age or the age of majority in your jurisdiction, have the legal capacity to enter into binding agreements, are not prohibited by applicable laws from using the Platform, are not located in any restricted, sanctioned, or prohibited jurisdiction, and comply with all applicable local, national, and international laws and regulations. The Company reserves the right to refuse, restrict, suspend, or terminate access to the Platform at any time and for any reason, including for compliance, legal, security, operational, or risk management purposes. Certain features or services may not be available in all jurisdictions.
Availability of any card-related, payment-related, wallet-related, account-related, money movement, settlement, conversion, bank transfer, e-wallet, QR payment, domestic payment rails, merchant payment, identity verification, compliance screening, or related financial infrastructure feature is subject to the eligibility criteria, supported jurisdictions, restricted jurisdictions, prohibited jurisdictions, account holder standards, cardholder standards, business standards, spending standards, transaction limits, onboarding approvals, compliance requirements, provider policies, network rules, and risk controls of the applicable third-party service provider.
Certain users, entities, beneficial owners, directors, authorized users, cardholders, merchants, business types, jurisdictions, currencies, digital assets, transaction types, spending categories, merchant categories, payment rails, or features may be unavailable, restricted, blocked, suspended, declined, delayed, or discontinued at any time due to applicable law, sanctions requirements, provider policies, card network rules, payment network rules, issuer rules, banking partner requirements, compliance review, fraud prevention, operational limitations, or risk management requirements.
Users must not access or use the Platform or any Third-Party Service if they are located in, resident in, incorporated in, registered in, organized under the laws of, ordinarily operating from, a citizen of, controlled by, acting on behalf of, or otherwise connected to any sanctioned, restricted, prohibited, unsupported, or high-risk jurisdiction, person, entity, or activity under applicable law, sanctions programs, card network rules, payment network rules, issuer rules, banking partner requirements, or third-party provider policies. Access to certain services may be restricted, suspended, declined, or unavailable as required by law, provider policy, or compliance review.
Certain features of the Platform may require you to create an account. You agree to provide accurate, complete, and up-to-date information, to maintain the confidentiality of your credentials, and to ensure the security of any device, system, or access method used to access the Platform. You are solely responsible for all activities conducted through your account, whether authorized or unauthorized. The Company is not responsible for losses arising from compromised credentials, unauthorized access, or your failure to secure your account, device, or access environment.
Certain services accessible through the Platform are provided directly or indirectly by independent third-party service providers (“Third-Party Services”). These may include, without limitation, card issuance, card program management, payment processing, acquiring, settlement, bank transfer rails, e-wallet services, QR payment systems, domestic payment rails, virtual accounts, money movement, fiat-to-digital-asset conversion, digital-asset-to-fiat conversion, digital asset liquidity, merchant services, identity verification, sanctions screening, fraud monitoring, transaction monitoring, compliance review, and related infrastructure services. By accessing or using any Third-Party Services, you acknowledge and agree that such services are governed solely by the applicable third-party provider’s terms, policies, standards, limits, eligibility criteria, supported jurisdictions, restricted jurisdictions, prohibited-use rules, and compliance requirements. The Company is not a party to those third-party agreements unless expressly stated, and does not control or assume responsibility for the performance, availability, acts, omissions, decisions, approvals, declines, suspensions, terminations, or outcomes of any third-party service provider. You may be required to complete identity verification, screening, compliance checks, onboarding reviews, transaction monitoring, or provide additional information directly to such providers, and failure to satisfy those requirements may result in restricted, suspended, declined, or denied access to certain services.
Payment cards made accessible through the Platform, where available, are issued, operated, approved, restricted, suspended, or terminated by independent third-party issuers, card program managers, bank partners, card networks, payment processors, and/or related service providers. Card usage is subject to issuer rules, card program rules, card network rules, provider policies, regulatory requirements, supported jurisdictions, restricted jurisdictions, cardholder eligibility standards, spending standards, transaction limits, merchant category restrictions, and compliance review. The Company does not issue cards, operate or manage any card program, approve or decline transactions, determine cardholder eligibility, set final transaction limits, process chargebacks, decide disputes, reverse transactions, or control settlement outcomes. All such matters are handled by the applicable third-party provider, issuer, card network, or program manager.
Where the Platform provides access to fiat-to-digital-asset conversion, digital-asset-to-fiat conversion, top-up, withdrawal, transfer, bank transfer, e-wallet transfer, QR payment, domestic payment rails, merchant payment, virtual account, or similar money movement features, such services are provided by independent third-party service providers and are subject to their applicable licensing status, regulatory permissions, terms, policies, fees, limits, supported currencies, supported assets, supported jurisdictions, compliance checks, transaction monitoring, liquidity availability, settlement timelines, and risk controls. The Company does not operate a digital asset exchange, provide regulated on-ramp or off-ramp services, custody user funds or digital assets, perform regulated money transmission, or guarantee settlement timing, conversion rates, transaction approval, transaction completion, or availability of any particular rail, currency, asset, bank, wallet, or provider.
Certain payment cards made accessible through the Platform may be issued as virtual cards, physical cards, or both, and may be provisioned into third-party digital wallets, device-based payment services, or other payment interfaces such as Apple Pay, Google Pay, Samsung Pay, or similar technologies, subject at all times to the applicable issuer, card network, payment network, wallet provider, device provider, and third-party service provider rules and requirements. The Company does not operate, control, or manage any digital wallet service and does not perform tokenization, device provisioning, transaction authorization, or wallet-level security functions. Availability of digital wallet functionality, tokenization eligibility, device compatibility, transaction approval, suspension, or removal of cards from a wallet is determined solely by the applicable card issuer, card network, wallet provider, device provider, and/or third-party service provider. Use of any digital wallet is governed exclusively by the applicable third-party wallet provider’s terms and policies. You are solely responsible for maintaining the security of your devices, wallet credentials, biometric authentication, passcodes, and access controls, and for promptly reporting any loss, theft, compromise, or unauthorized use of a device, wallet, or tokenized card to the relevant wallet provider, card issuer, and/or third-party service provider.
Fees applicable to the Platform and Third-Party Services may include transaction fees, card-related fees, conversion fees, network fees, foreign exchange fees, service fees, third-party provider fees, and other applicable charges. Fees, rates, spreads, limits, and availability may vary depending on the relevant service, provider, payment method, currency, asset, jurisdiction, transaction type, network conditions, and user eligibility. Where required or applicable, fees will be disclosed before or during use, including before confirming a transaction. Fees are non-refundable unless otherwise required by applicable law or the applicable third-party provider’s terms.
To improve the security, performance, functionality, reliability, and overall operation of the Platform, the Company may use automated systems, including machine learning or artificial intelligence–based tools, to analyze Platform usage data, transactional metadata, and related information. Such analysis may be used for purposes including fraud detection, risk assessment, identity verification support, sanctions screening support, transaction monitoring, dispute support, compliance reporting, provider integration, service optimization, personalization, analytics, product development, and enforcement of these Terms, subject to applicable law and the Privacy Policy. Any automated analysis is conducted in accordance with applicable laws and does not constitute automated decision-making producing legal or similarly significant effects on users without appropriate safeguards.
Use of payment cards, digital assets, blockchain-related services, fiat-to-digital-asset conversion, digital-asset-to-fiat conversion, bank transfers, e-wallet transfers, QR payments, domestic payment rails, virtual accounts, settlement services, and other money movement features involves significant risks. These may include transaction failures, declined transactions, delayed settlement, reversals, chargebacks, failed top-ups, failed withdrawals, price volatility, exchange rate differences, slippage, liquidity limitations, provider outages, bank processing delays, network congestion, blockchain confirmation delays, wallet address errors, regulatory restrictions, jurisdictional limitations, compliance reviews, account restrictions, service interruptions, operational issues, and potential loss of funds or digital assets. You acknowledge and accept that you use the Platform and any related Third-Party Services at your own risk. Nothing on the Platform constitutes financial, legal, tax, investment, or regulated payment advice, and you are solely responsible for your decisions and should seek independent professional advice where appropriate.
All content, software, designs, trademarks, logos, interfaces, features, and intellectual property associated with the Platform are owned by or licensed to the Company. You may not copy, modify, distribute, reverse-engineer, decompile, disassemble, or otherwise exploit any part of the Platform without prior written consent. You agree not to use the Platform, any card-related service, payment-related service, wallet-related service, money movement service, conversion service, bank transfer rails, e-wallet service, QR payment system, domestic payment rails, or any Third-Party Service for any unlawful, fraudulent, deceptive, abusive, sanctioned, high-risk, restricted, or prohibited activity. This includes, without limitation, money laundering, terrorism financing, sanctions evasion, fraud, illegal gambling, unlicensed financial services, unauthorized money services business activity, unauthorized digital asset activity, dark web activity, hacking or cybercrime-related services, illegal or controlled substances, unlicensed pharmaceuticals, weapons, explosives, hazardous materials, counterfeit goods, intellectual property infringement, human trafficking, exploitation, escort services, unlawful adult services, hate-related activity, illegal digital content, unauthorized data brokerage, endangered wildlife products, deceptive investment schemes, pyramid schemes, Ponzi schemes, predatory lending, misuse of card networks or payment systems, infringement of third-party rights, attempts to bypass security, compliance, or access controls, or any other activity restricted by applicable law, card network rules, payment network rules, issuer rules, provider policies, or compliance requirements.
For purposes of mobile application distribution, the Company does not itself process regulated payments, issue cards, provide e-money, custody funds or digital assets, operate a digital asset exchange, or provide regulated financial services within the App unless expressly stated and duly licensed. Payment-related, card-related, wallet-related, conversion, on-ramp, off-ramp, bank transfer, e-wallet, QR payment, domestic payment rails, and related services may redirect users to, rely on, or be completed through independent third-party service providers, websites, applications, APIs, hosted flows, SDKs, or infrastructure governed by their own terms, policies, and compliance requirements.
Additional third-party terms, program rules, issuer rules, card network rules, payment network rules, bank partner requirements, compliance standards, supported jurisdiction lists, restricted jurisdiction lists, prohibited-use policies, money movement standards, spending restrictions, transaction limits, onboarding requirements, and operational controls may apply to Third-Party Services. These rules form part of the conditions for accessing the relevant service. In the event of any inconsistency between these Terms and any applicable third-party rule, the stricter rule, or the rule required by applicable law, the relevant third-party provider, issuer, card network, payment network, bank partner, wallet provider, digital asset service provider, or compliance provider, shall apply.
To the maximum extent permitted by law, the Platform is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied. The Company disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement. The Company shall not be liable for any indirect, incidental, special, punitive, or consequential damages, nor for any acts or omissions of third-party service providers.
The Company and/or the applicable third-party service provider may suspend or terminate access to the Platform or any Third-Party Service at any time for legal, compliance, sanctions, fraud prevention, security, operational, provider policy, network rule, or risk-related reasons. The Company and/or the applicable third-party service provider may also, at any time and without prior notice, reject, delay, block, reverse, restrict, suspend, terminate, withhold access to, or decline any account, card, wallet, transaction, transfer, conversion, settlement, withdrawal, top-up, payment, feature, or service where required by law, provider policy, card network rule, payment network rule, issuer rule, banking partner requirement, sanctions requirement, compliance review, fraud prevention, security concern, operational limitation, or risk management decision. The Company is not liable for any loss, delay, failed transaction, declined transaction, blocked access, suspended service, or discontinued feature resulting from such actions. Termination does not affect obligations incurred prior to termination. These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to conflict-of-law principles. The Company may amend these Terms from time to time, and continued use of the Platform constitutes acceptance of the revised Terms.
